Interpretations

The following definitions apply:

  • Service – the PD Intelligence platform and associated data services
  • User – any person accessing the Service
  • Subscriber – a User who has entered into a paid subscription
  • Data – datasets made available through the Service
  • Subscription Fee – the price payable for access to the Service
  • Order Form – the process by which Users register and accept these Terms

Clause headings do not affect interpretation.

Subscription, Billing, Data Feeds and Free Trial

Subscriptions

Subscriptions to the Service are provided on a flexible, no minimum term basis. Access begins upon activation of your account and continues on a rolling basis in accordance with your selected billing cycle.

You may cancel your subscription at any time without penalty or ongoing obligation. Where cancellation occurs, access to the Service will continue until the end of the current billing period, after which access will cease and no further charges will apply. No refunds will be issued for any unused portion of the billing period unless otherwise agreed.

Paid subscriptions will only commence where you expressly agree to enter into a paid plan or separate commercial agreement with PD Intelligence Limited. Payment details will only be required where applicable to the selected subscription.

Details of your subscription, including billing frequency and applicable fees, will be made available within your account and confirmed at the point of purchase.

Non-payment of any undisputed fees may result in immediate suspension or restriction of access to the Service without further notice. This does not affect our right to recover outstanding amounts owed.

Data Feeds and Invoiced Customers

Where the Service is provided as part of a data feed, API, bulk data delivery, or other bespoke or enterprise arrangement, billing may be conducted via invoice rather than automated subscription payment.

In such cases:

  • PD Intelligence Limited will issue invoices on a monthly basis unless otherwise agreed in writing
  • Payment terms shall be thirty (30) days from the date of invoice
  • The Customer agrees to pay all invoices in full within the stated payment term

PD Intelligence Limited reserves the right to suspend, restrict or terminate access to any data feed or enterprise service where payment is overdue.

Unless otherwise agreed in writing, all fees are non-refundable.

PD Intelligence Limited reserves the right to charge interest on overdue invoices at the statutory rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Free Trial

Where offered, new users may access the Service under a 7-day free trial period for evaluation purposes only.

No credit card or payment details are required to access the free trial.

Trial access is provided on a limited and revocable basis, and PD Intelligence Limited reserves the right to modify, restrict or withdraw trial access at any time.

At the end of the 7-day trial period, access to the Service may be restricted unless the User enters into a paid subscription or separate commercial agreement.

During or following the trial period, PD Intelligence Limited may contact Users using the details provided at registration for purposes including onboarding, support, and discussing continued access to the Service, including available subscription or commercial options.

Account Responsibility

The User is responsible for maintaining the confidentiality of their account login details and for all activities carried out under their account.

Sharing account access or login credentials is prohibited unless expressly permitted by PD Intelligence Limited.

PD Intelligence Limited shall not be liable for any loss resulting from unauthorised use of an account.

Licence

Unless otherwise stated, PD Intelligence Limited and/or its licensors own all intellectual property rights in the Service, including all data, datasets, reports, databases, content, design, functionality and underlying technology. All such rights are reserved.

You are granted a limited, non-exclusive, non-transferable and revocable licence to access and use the Service strictly for your internal business purposes.

You must not:

  • Republish, reproduce or duplicate any part of the Service
  • Sell, rent, sublicense or commercially exploit any material, data or content
  • Share, distribute or make available any data or datasets to third parties
  • Use the Service or any data to build or support a competing product or service
  • Use automated tools, bots, scraping or data extraction techniques
  • Systematically extract, store, aggregate or recreate datasets outside the intended use of the Service
  • Use the data in any way that circumvents the need to maintain an active subscription

Any breach of this clause constitutes a material breach and may result in immediate suspension or termination of access, without prejudice to any other rights or remedies available to PD Intelligence Limited.

Termination

PD Intelligence Limited reserves the right to suspend or terminate access to the Service immediately, without notice, where:

  • The User breaches these Terms;
